ANNOUNCEMENT
The société anonyme under the corporate name "JUMBO S.A." (the Company), following the resolution of the Board of Directors of the Company dated 23.10.2025, announces that entered into a Share Sale and Purchase Agreement with EUROBANK S.A. for the acquisition of 100% of the shares of its subsidiary company under the name “HERALD HELLAS SINGLE-MEMBER SOCIÉTÉ ANONYME FOR REAL ESTATE DEVELOPMENT AND SERVICES 2” (HERALD 2), owner of the shopping center VESO MARE, located at Akti Dymaion, in Patras, where Jumbo already operates a store.
The purchase price of the transaction amounted to €10,825,621, which was paid in cash from the Company’s available funds.
Following the above, the Company became the sole shareholder of HERALD 2, holding 100% of its voting rights, represented by 196,036,762 common registered shares, with a nominal value of €0.04 each.
